NeverLate — Terms of Service

Effective date: September 5, 2026

Contact: maunamove@gmail.com

These Terms of Service (“Terms”) are a legal agreement between you and Manuel Montagna (“we,” “us,” “our”), the developer of the NeverLate iOS app (“the app,” “NeverLate”). They govern your download and use of the app and any subscriptions you purchase through it. This document also serves as the End User License Agreement (EULA) and Terms of Use for the app.

By downloading, installing, or using NeverLate, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the app.

1. Eligibility

You must be at least 13 years old to use NeverLate. By using the app you represent that you meet this requirement and that the information you provide to us is accurate.

2. Licence to use the app

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use NeverLate on any Apple-branded device that you own or control, solely for your own personal, non-commercial use, and in accordance with the Apple Media Services Terms and Conditions. This licence does not transfer ownership of the app to you.

You may not:

3. Your account

Some features require an account, which you create with an email and password or via Sign in with Apple. You are responsible for keeping your login credentials secure and for all activity under your account. Let us know at maunamove@gmail.com if you believe your account has been compromised.

4. Your content

NeverLate lets you create timelines, tasks, sessions, templates, and todos (“Your Content”). You own Your Content. You grant us only the limited licence needed to store, process, and display it back to you so the app can function (including syncing it across your devices). We do not sell Your Content or use it to build advertising profiles. How we handle it is described in our Privacy Policy.

You are responsible for Your Content and must not use the app to store or share anything unlawful, infringing, or harmful.

5. Subscriptions, free trial, and billing

NeverLate offers an auto-renewable subscription that unlocks full access to the app.

California residents (Automatic Renewal Law): Your subscription continues and automatically renews until you cancel. We (via Apple) will charge your payment method at the price and interval disclosed above at the time of each renewal. You may cancel at any time through your App Store account settings to avoid future charges, as described above.

6. Payments, refunds, and consumer rights

All purchases are processed by Apple, not by us. We do not receive or store your payment details.

7. Acceptable use

You agree not to misuse the app, including by attempting to disrupt or compromise its security, accessing it through automated means, probing or scanning its systems, interfering with other users, or using it in violation of any applicable law.

8. Our intellectual property

The app, its design, code, name, logo, and all related content (other than Your Content) are owned by us or our licensors and are protected by intellectual-property laws. Except for the licence in Section 2, these Terms grant you no rights in our intellectual property.

9. Third-party services

NeverLate relies on third-party services to operate, including Apple (App Store, Sign in with Apple, push notifications), Supabase (data storage and authentication), Superwall (subscription and paywall management), and Resend (email delivery). Your use of the app may be subject to those parties’ terms. We are not responsible for third-party services we do not control.

10. Disclaimers

The app is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the app will be uninterrupted, error-free, or free of harmful components, or that reminders and notifications will always be delivered on time (delivery depends on your device settings, network, and Apple’s push infrastructure). Nothing in this section excludes any warranty or right that cannot be excluded under the law of your country of residence.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of (or inability to use) the app. To the extent our liability cannot be excluded, it is limited to the amount you paid us for the app in the 12 months before the event giving rise to the claim. This section does not limit liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited under applicable law, including mandatory consumer-protection law.

12. Termination

You may stop using the app and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the app unlawfully. On termination, the licence in Section 2 ends; sections that by their nature should survive (e.g. ownership, disclaimers, limitation of liability, governing law) continue to apply.

13. Changes to the app and these Terms

We may update, modify, or discontinue features of the app. We may also update these Terms from time to time. When we make material changes, we will update the “Effective date” above and notify you by email or in the app before they take effect. Your continued use of the app after changes take effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of Denmark, without regard to its conflict-of-laws rules, and the courts of Copenhagen, Denmark have jurisdiction — except that, if you are a consumer, you also benefit from the mandatory protections and the courts of your country of residence where applicable law so provides. EU consumers may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Apple App Store — additional terms

These additional terms apply because you obtained the app through Apple’s App Store, and Apple requires them:
